SignEnvoy Terms of Service
Last updated: October 9, 2026
1. The agreement and who it covers
These Terms of Service (“Terms”) are an agreement between SignEnvoy, Inc., a Delaware corporation (“SignEnvoy”, “we”, “us”), and the business or person that creates a SignEnvoy account or uses the Service (“Customer”, “you”). If you accept these Terms for a company, you confirm you have authority to bind it.
- What they cover. The SignEnvoy API, dashboard, signing pages and related services (the “Service”), and our website.
- Signers are not parties. People you send documents to (“Signers”) use the Service at your request. They do not accept these Terms, and you are responsible for your relationship with them.
- Related documents. The Data Processing Addendum (“DPA”) at https://signenvoy.com/dpa and the Acceptable Use Policy at https://signenvoy.com/acceptable-use form part of these Terms. Our Privacy Policy at https://signenvoy.com/privacy explains how we handle data about account users and website visitors. If these Terms and the DPA conflict on personal data, the DPA controls.
- Age. You must be at least 18 to create an account.
- Accepting these Terms. You accept these Terms, including the DPA, when you tick the acceptance box to start a paid plan. We record which version you accepted and when. If you use the free test mode before then, these Terms apply to that use as well.
2. The Service and electronic signatures
SignEnvoy provides the tools to send documents for electronic signature. You decide what is signed, by whom, and whether electronic signatures are appropriate for it.
- Envelopes. An “Envelope” is one or more documents sent to one or more Signers, with its fields, status history and audit trail. When all Signers finish, the Envelope is “completed” and we seal the documents and audit trail.
- Legal validity is your responsibility. Some documents cannot be signed electronically, and some laws, such as consumer protection laws, add requirements like disclosures or consent to electronic records. You are responsible for meeting them. We do not give legal advice and do not guarantee that any document is enforceable.
- We are not a party. SignEnvoy is not a party to the agreements you or your Signers sign and makes no promises about them.
- Your content. You are responsible for the documents you upload and the information you send, and for having the right to send it. Templates you build in the Service are your content. We do not supply legal document templates or wording.
- How Signers are identified. By default, we email each Signer their signing link, under your name, and send reminders if you turn them on. You can also require a one-time code, which we email to the Signer under your name. In both cases, the identity check is access to the Signer’s email inbox. You are responsible for choosing a level of verification suitable for your documents.
- Signing links you deliver yourself. If you turn off our email delivery or use embedded signing, we do not email those Signers their signing link or a copy of the completed document. We email a Signer a reminder with a new link only if you ask us to, by resending or by setting a reminder schedule for that Envelope; the new link replaces the one you gave them. One-time codes cannot be combined with delivering links yourself. We do not verify who opens a link you deliver. You are responsible for giving each link only to the right person, for authenticating that person in your own system, and for keeping records that prove it. The audit trail and the certificate of completion record, for each Signer, whether we emailed the link or you delivered it.
3. Accounts, API keys and test mode
You are responsible for everything done through your account and API keys.
- Accurate information. Keep your account and billing details accurate and current.
- Security. Keep passwords and API keys confidential, limit access to people who need it, and tell us promptly at security@signenvoy.com if you suspect unauthorized use.
- Live and test keys. Live keys send legally binding Envelopes and are billed. Test keys create test Envelopes, which are free, watermarked, and not legally binding. Do not use test Envelopes for real agreements.
- Workspaces. Envelopes belong to a workspace. A workspace without an active paid plan runs in test mode only.
4. Pricing and billing
The live plan costs $20 per calendar month, which includes 134 completed Envelopes. Each additional completed Envelope in the same month costs $0.25. Current prices are also on our pricing page.
- What counts. Only completed live Envelopes count. Test Envelopes, and Envelopes that are voided, declined or expire before completion, are not charged.
- Billing cycle. Everyone is billed on the calendar month. The monthly minimum is charged in advance on the 1st. Envelopes above the included amount are charged in arrears on the next invoice.
- First month. If you start mid-month, the first month’s minimum and included Envelopes are prorated by the time remaining in the month, with the included count rounded up.
- Unused Envelopes. Included Envelopes do not roll over to the next month.
- Payment. You authorize us and our payment processor to charge your payment method for all amounts due.
- Taxes. Prices exclude taxes. You pay any sales, use or similar taxes that apply, other than taxes on our income.
- Price changes. We will give at least 30 days’ notice by email before a price change takes effect. It applies from the next calendar month after the notice period, and you may cancel before then.
- Billing disputes. Tell us within 60 days of an invoice if you think it is wrong. We will correct genuine billing errors, including by refund.
5. Failed payments
If a payment fails, our payment processor retries it and emails you, and your account keeps working normally for 7 days.
| When | What happens |
|---|---|
| Day 0 | Payment fails. Our payment processor emails you and retries automatically |
| Day 3 | Reminder email from our payment processor |
| Day 7 | Account suspended: no changes can be made through the API or dashboard, in live or test mode, and no new Envelopes can be sent. Envelopes already sent can still be signed, and you can still download your documents. Paying restores everything, including your existing API keys |
| Day 30 | Final notice, listing any Envelopes still in progress |
| Day 37 | Account closed for non-payment. It moves to test mode, live API keys are revoked, and Envelopes still in progress are voided. We notify you and each affected Signer |
The unpaid balance remains due after day 37 and must be paid before live access is restored. Section 7 explains what happens to your data after the account closes.
6. Cancellation and refunds
Your workspace’s owner or an admin can cancel at any time in the dashboard. Cancellation takes effect at the end of the current calendar month, and can be undone before then.
- Until month-end. Your account works normally, except that new live Envelopes are refused once the month’s completed and in-progress Envelopes reach your included amount.
- At month-end. Your account moves to test mode and live API keys are revoked. If you come back, you create new live API keys, and we rotate your webhook signing secrets for you.
- Envelopes in progress. Envelopes sent before month-end can still be completed until they expire. Any completed Envelopes above your included amount appear on one final invoice. Envelopes completed after month-end first use up any of your final month’s unused included Envelopes. Final invoices under $5 are waived.
- No refunds. Amounts already paid are not refundable, including for unused included Envelopes or a partial month, except for billing errors (section 4.8).
- Unpaid final invoices. A final invoice above the waiver amount that remains unpaid must be paid before live access is restored.
7. Your data
You own your documents and Envelope data. We use them only to provide the Service, as described in the DPA.
- Security. We protect your data with the measures described in the DPA, and we notify you of personal data breaches as the DPA describes.
- Export. You can download completed documents and audit trails at any time while your account is active, and during the download period below.
- Deletion by you. You can delete any Envelope that is not in progress, including completed ones, at any time; void an in-progress Envelope first. Deleting a completed Envelope deletes its sealed documents and audit trail. Download anything you need to keep first; deletion cannot be undone.
- After your account ends. When a cancellation takes effect or an account is closed for non-payment, your documents stay available read-only for 90 days. We email your owner and admins 14 days before that period ends. Then we delete your live Envelopes on the schedule in the DPA. Deleting your workspace ends the period sooner, and starting a paid plan again before it ends cancels the deletion.
- Test Envelopes are deleted automatically 30 days after creation.
- Keep your own copies. You are responsible for keeping signed documents for as long as the law or your business requires. We recommend keeping copies outside SignEnvoy.
8. Acceptable use
You may use the Service only for lawful business purposes. The Acceptable Use Policy sets out these rules in more detail. You must not:
- send documents or messages that are fraudulent, deceptive, harassing, or that impersonate anyone;
- send Envelopes to people who have not agreed to deal with you, or use the Service for spam;
- forge signatures, sign on behalf of someone without their authority, or misrepresent a Signer’s identity;
- upload malware or content you have no right to send;
- try to access other customers’ data, probe or bypass our security, or reverse engineer the Service;
- exceed rate limits, or place an unreasonable load on the Service;
- resell, sublicense or rent the Service, or offer electronic signatures as a service in its own right, such as an e-signature product or signing API that others use to send their own documents. You may send your own agreements for signature, and embed the signing experience in your own website or application for your own customers;
- use the Service in breach of export controls or sanctions.
9. Suspension and termination by us
We may suspend or close an account only for a real reason, and we will tell you why.
- Immediate suspension. We may suspend access without notice if needed to stop a security threat, fraud, abuse, or a serious breach of section 8, or if the law requires it. We will tell you promptly and restore access once the issue is resolved.
- Termination for breach. We may close your account if you materially breach these Terms and do not fix the breach within 14 days of our notice, or immediately for serious or repeated breaches of section 8.
- Termination for convenience. We may stop providing the Service to you for any other reason with at least 30 days’ notice. In that case we will refund any prepaid amount for the period after termination.
- Effect. When an account is closed, section 7 applies to your data. Sections that by their nature should continue, such as payment obligations, disclaimers, limitation of liability and indemnity, survive.
10. Legal requests and proceedings
We do not hand your documents to third parties unless the law requires it.
- Requests for your data. If a court, government authority or other party requests your data, we will try to direct them to you. Unless the law prohibits it, we will notify you before disclosing anything so you can object, and we will disclose only what we are legally required to.
- Evidence of signing. Your audit trail and sealed documents are designed to serve as evidence without us. If we are nonetheless asked or compelled to take part in a proceeding about your use of the Service, such as testifying about a signature, you agree to pay our reasonable costs, including staff time and legal fees. This does not apply to proceedings where you are in a dispute with us.
11. Intellectual property, feedback and publicity
We own the Service, and you own your content.
- Our property. SignEnvoy and its licensors own the Service, software, documentation, names and logos. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active.
- Your content. You keep all rights in your documents and data. You give us permission to process them only as needed to provide the Service.
- Feedback. If you send us suggestions, we may use them without obligation to you.
- Publicity. We will not use your name or logo in our marketing without your written permission, which may be given by email.
12. Disclaimers
Except for the commitments in these Terms and the DPA, the Service is provided “as is” and “as available”.
To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted or error-free, or that any document signed through it will be legally valid or enforceable. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
13. Limitation of liability
Each party’s total liability under these Terms is capped at the greater of the fees you paid us in the 12 months before the claim, or $100.
- Excluded damages. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, even if told they were possible.
- Data breaches. For breaches of our security or data protection obligations under the DPA, our total liability is capped at two times the fees you paid us in the 12 months before the claim, instead of the cap above.
- What is not limited. These limits do not apply to your payment obligations, your indemnity under section 14, either party’s fraud or wilful misconduct, or liability that the law does not allow to be limited.
14. Indemnity
You will defend and compensate SignEnvoy against third-party claims arising from your documents and content, your relationship with your Signers, your breach of section 8, or your breach of law in using the Service. This includes reasonable legal fees and any settlement or award.
We will tell you promptly about any such claim, let you control the defence, and cooperate at your cost. You may not settle a claim in a way that admits fault by SignEnvoy without our consent.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
- Talk first. Before starting a formal claim, each party will give the other written notice and try in good faith to resolve the dispute for 30 days.
- Where disputes are heard. The state and federal courts located in Delaware have exclusive jurisdiction, and both parties consent to it. Either party may seek urgent relief, such as an injunction, in any competent court.
- Data protection disputes under the Standard Contractual Clauses are governed by the law and courts chosen in the DPA.
16. Changes, notices and general terms
We will give at least 30 days’ notice of material changes to these Terms, by email and on this page. Changes do not apply to disputes that arose before them.
- If you disagree with a change, you may cancel before it takes effect. Continuing to use the Service afterwards means you accept it.
- Notices. We send notices to your account’s admin email. You send notices to support@signenvoy.com, or by mail to SignEnvoy, Inc., 1044 E Brandon Blvd, Brandon, FL 33511.
- Service providers. We use third-party providers to run the Service. They are listed in the DPA where they process your data.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, except for payment obligations.
- Assignment. Neither party may transfer these Terms without the other’s consent, except to a successor in a merger or sale of the business, with notice.
- Entire agreement. These Terms, the DPA and any order form are the whole agreement between us about the Service. If a provision is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it.
